Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the MyHRManager platform, including its mobile applications and the myhrmanagerapp.com website (collectively, the "Service"). By registering a company account, accepting an employee invitation, or otherwise accessing the Service, you agree to be bound by these Terms. If you are registering on behalf of a company, you represent that you have authority to bind that company.

2. Description of the Service

MyHRManager is a subscription-based human resources management platform providing, depending on the subscribed plan: employee records management, attendance tracking (including GPS-based check-in and photo verification), leave management, payroll and salary-advance processing, multi-branch administration, operational and advanced reporting, and optional AI-assisted insights.

3. Accounts, Roles, and Company Structure

• Each company account has one Primary Owner, who holds final authority over subscription, billing, partner permissions, and company settings.
• A company may designate employees and managers with role-based access.
• Each authenticated user account is associated with exactly one employee record within one company at a time.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Plans and Trial Period

The Service is offered under multiple subscription tiers:

• Free Plan: includes up to 3 users (owner + 2 employees), one primary branch, and only attendance check-in/check-out and log viewing. No other features.
• Basic Plan: includes 5 users, unlimited branches (with an extra fee per additional branch), unlimited employees (with an extra fee per additional employee), and all core features except advanced reports, AI insights, and field-agent tracking.
• Professional Plan: includes 5 included users, unlimited branches and employees (with an extra fee per addition), and all Basic Plan features plus advanced reports, AI insights, and field-agent tracking.

We may change plan pricing, included features, or included limits at any time. Price changes take effect at the Client's next renewal date, with advance notice.

4.1 Trial Period

Newly registered companies may be offered a free trial period (current duration: 28 days, adjustable by the Platform), during which all Professional Plan features are available at no charge.

4.2 After the Trial Period

When the trial period ends:

• If the Client has not selected a paid plan, the account automatically downgrades to the Free Plan.
• The Free Plan includes: up to 3 users (owner + 2 employees), one primary branch, and only attendance check-in/check-out with day/month log viewing. It does not include leaves, payroll, advances, advanced reports, AI, or any other features.
• All Client data is preserved during the downgrade and is not deleted as a result of the plan change.
• The Client may upgrade to a paid plan at any time.

5. Payment and Activation

Subscription fees are billed in advance for the selected billing cycle (monthly or annually), in Egyptian Pounds (EGP) or US Dollars (USD) depending on the Client's registered country. Payments are processed through approved payment gateways, or via manual transfer where a gateway is unavailable.

The subscription is activated or renewed once payment is confirmed. Duplicate submission of the same payment reference is not permitted and may be automatically rejected as a fraud-prevention measure.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable labor or data protection law;
• Attempt to gain unauthorized access to another company's data or to the Company's administrative systems;
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service, except where such restriction is prohibited by applicable law;
• Interfere with or disrupt the integrity or performance of the Service;
• Misuse the attendance, GPS, or photo-verification features to record false or misleading records.

7. Client Data and Data Ownership

As between the Client and the Company, the Client retains ownership of all data it and its employees input into the Service ("Client Data"). We process Client Data solely to provide the Service, in accordance with our Privacy Policy. Upon termination of a subscription, Client Data will be handled as described in our Privacy Policy, including applicable statutory retention periods.

8. Intellectual Property

The Service, including its software, design, trademarks, and underlying technology, is the exclusive property of the Company and its licensors. These Terms do not grant you any right to the Company's intellectual property beyond the limited right to use the Service as intended. Any unauthorized copying, redistribution, or circumvention of technical protection measures applied to the Service is strictly prohibited and may result in immediate termination and legal action.

9. Service Availability and Changes

We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice where feasible, and may modify, suspend, or discontinue features of the Service, provided that material reductions in a paid plan's core functionality will be communicated in advance.

10. Suspension, Freezing, and Termination

• A company account will be automatically frozen upon expiry of its subscription without timely renewal; frozen accounts retain read access to a limited status screen but lose access to operational features until renewed.
• We may suspend or terminate an account for violation of these Terms, fraudulent payment activity, or unlawful use, with notice where practicable.
• A Client may cancel its subscription at any time through the cancellation process described in the application, which includes a mandatory reason, optional data export, confirmation by typing the company name, and a 30-day grace period before data anonymization begins.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, and shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from use of the Service. Nothing in these Terms limits liability that cannot be excluded under applicable law. See also our separate Disclaimer document.

12. Indemnification

The Client agrees to indemnify and hold the Company harmless from claims, damages, or expenses arising from the Client's misuse of the Service, violation of these Terms, or violation of applicable law in its use of employee data.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties, and failing resolution, shall be subject to the exclusive jurisdiction of the competent courts of Egypt, unless otherwise required by mandatory local law applicable to a Client located outside Egypt.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified to account owners at least 15 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
